LOAN AGREEMENT

BETWEEN

Go Africa Capital LLC & Kenicap

Kabir

Parties

This LOAN AGREEMENT (“Agreement”) is made and entered into, by and between, Go Africa Capital LLC & Kenicap (“Lender”) and Kabir
at “Dhaka, Bangladesh” (“Borrower”).

Loan Information

The Lender promises to loan 100 (“Principal”) to the Borrower by Kabir, 12/20/2020 , with a 10% annual interest thereafter (“Interest”).

IN CONSIDERATION OF the Lender loaning money to the Borrower, and the Borrower repaying the Principal together with the Interest, both parties agree to the terms set forth below.

Terms and Conditions

• PAYMENT AND INTEREST

The Principal, Interest, and other charges shall be paid in full on 03/16/2021. The Borrower shall pay the Lender a monthly fee of $100 until the end of the term. The Principal shall bear interest with a rate of 10% per annum.

• DEFAULT

If the Borrower defaults in any provision of this Agreement, the Lender may request for the immediate payment of the Principal, corresponding Interest, and other charges.

• COLLATERAL

For the Lender’s protection and security, the Borrower agrees to provide its house and lot, located at “Cox's Bazar” , as a security interest.

• AMENDMENT

This Agreement shall only be amended if both parties express their consent in writing.

• SUCCESSORS

This Agreement shall bind the Borrower, its assigns, heirs, and successors. However, the Lender is not allowed to assign its rights or obligations without prior consent from the Borrower.

• GOVERNING LAW

This Agreement is governed by the state laws of New York, USA & the Country of Kenya.

• AGREEMENT

This Agreement contains the entire understanding of both parties and supersedes prior communication and arrangements between the parties, both written and oral.
